Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the Spywave AI website, applications, and related services. By accessing or using Spywave AI, you agree to be bound by these Terms.

2. Eligibility

You must be at least 18 years old and capable of entering into a binding agreement to use Spywave AI.

3. Description of Service

Spywave AI provides software tools that help traders define Guardrails, indicators, and presets, and optionally automate execution through connections to their own brokerage accounts. Spywave AI does not hold customer funds and does not execute trades on its own accounts.

4. No Investment Advice

Spywave AI is a software tool for traders. It does not provide personalized investment, financial, tax, or legal advice. All information and features are for informational and educational purposes only. Users make their own trading decisions, assume all responsibility for their results, and acknowledge that no profitability or performance is guaranteed.

5. Subscriptions and Billing

Access to Spywave AI may be offered on a subscription basis. Pricing, features, and plans may change from time to time. You are responsible for all applicable taxes or duties associated with your subscription.

6. Right to Suspend or Terminate

Spywave AI may suspend or terminate any account or subscription at any time, for any reason, and at its sole discretion. Reasons may include, but are not limited to, misuse of the platform, suspected abuse, security concerns, violation of these Terms, or legal/compliance risks. Spywave AI has no obligation to provide continued access and may refuse service where appropriate.

7. Broker Connections and Security

Spywave AI connects to users’ brokerage accounts through secure APIs provided by the brokers. Spywave AI does not store brokerage login information or passwords. Where necessary, Spywave AI may store access tokens or keys issued by the brokerage solely to maintain the connection and perform actions you authorize. You are responsible for maintaining the security of your brokerage accounts and reviewing any permissions you grant.

8. Data, Logs, and Trade History

Spywave AI may collect and retain trade history, event logs, and related data generated through use of the service. This data may be used to debug issues, investigate errors or disputes, improve the service, conduct analytics, and satisfy legal or compliance requirements. Data may be anonymized or aggregated for analytics and product improvement.

9. Beta Features

Certain features may be offered as beta or pre-release. Such features may be unstable, incomplete, or changed/removed at any time. Use of beta features is at your own risk.

10. Limitation of Liability

Spywave AI, its owners, and affiliates are not liable for losses resulting from trades or market movements, interruptions or delays in the service or broker connectivity, or indirect, incidental, or consequential damages. To the fullest extent permitted by law, any liability is limited to the amount you paid for the service during the twelve (12) months preceding the claim.

11. Risks of Trading

Trading options and other financial instruments involves substantial risk, including the risk of losing more than the amount invested. Automated or semi-automated trading adds risks such as connection failures, latency, gaps, and slippage. Only trade with money you can afford to lose and ensure you understand the risks before enabling automated features.

12. Indemnification

You agree to indemnify and hold Spywave AI, its owners, employees, and affiliates harmless from any claims, losses, liabilities, or expenses arising out of your use of the service or violation of these Terms.

13. Changes to the Service and Terms

Spywave AI may modify or discontinue any part of the service at any time. These Terms may also be updated periodically. Continued use of the service after changes are posted constitutes acceptance of the revised Terms.

14. What Spywave AI Is Not

  • Spywave AI is not a registered investment advisor or investment advisory firm.
  • Spywave AI is not a broker-dealer.
  • Spywave AI is not a money manager or asset manager.
  • Spywave AI is not a custodian of funds.
  • Spywave AI is not a guarantee of profit or specific trading outcomes.

Users remain responsible for monitoring their own accounts, Guardrails, and trading activity at all times.

15. Governing Law

These Terms are governed by the laws of the jurisdiction where Spywave AI is organized, without regard to conflict-of-law principles.
